1. Who we are and what these terms are

SmartDukkan is an online point-of-sale, stock and e-invoicing service provided by SmartDukkan ("the provider", "we").

These terms are an agreement between us and the business that opens a SmartDukkan account ("the shop", "you"). By pressing "Accept" or by using the service, the owner or legal representative of the shop confirms that they have read and accepted these terms and may accept them for the shop.

The Arabic text prevails if the languages differ.

2. The service

The service lets you sell from the POS; manage products, stock, branches and staff; keep customers and suppliers; handle repairs; see reports; issue e-invoices and send them to the Fatoora portal of the Zakat, Tax and Customs Authority (ZATCA, Phase 2); use the Owner app; and get support.

SmartDukkan is a technology tool only. We are not accountants, tax agents or legal advisers. Any warning, message or calculation inside the software is help and a reminder, not tax or legal advice.

3. Account, branches and staff

  • The shop keeps its details correct: name, VAT number, CR numbers and the national address of every branch.
  • Every branch added must legally belong to the same taxpayer as the VAT number. A shop whose CR is in another person's name needs its own account and its own VAT number.
  • The owner is responsible for everything done with staff accounts and the permissions given, for keeping passwords and OTP codes secret, and for stopping the account of anyone who leaves.
  • Support will never ask for your password or OTP.

4. Your VAT and e-invoicing responsibilities

The shop is the taxpayer. The shop alone is responsible for complying with the VAT Law, its Implementing Regulations, the e-invoicing rules and all laws of the Kingdom, including:

  • correct prices and VAT treatment of every item (standard 15%, zero-rated or exempt);
  • issuing an invoice for every sale, checking that simplified invoices reach ZATCA within the required time (24 hours), and fixing rejected or late invoices;
  • filing VAT returns and paying VAT on time, and checking invoices and returns with the shop's accountant;
  • keeping records and invoices for the required period (at least six years from the end of the tax period, longer for some assets) in the required form and language;
  • branches are connected to the Fatoora portal with the shop's own OTP, and the certificates (CSID) are issued in the shop's name.

Any fine, penalty or tax difference that ZATCA or any authority imposes on the shop is borne by the shop. The software calculates from the data the shop enters; wrong data gives wrong results.

5. Connection with ZATCA

Sending invoices depends on ZATCA's systems and on the internet at the shop and at our side. When one of them is down, invoices are kept and sent again automatically. We are not responsible for outages or changed requirements of ZATCA, and we will update the software within reason to meet new requirements.

6. Fees, payment and renewal

  • Fees are per branch, yearly or monthly, as shown on the price page at the time of payment. VAT is added when due by law.
  • Payment only by bank transfer or STC Pay to the account shown in the software. The licence starts after the payment is confirmed.
  • There is no automatic renewal and no card charge. We remind you before the licence ends.
  • When a licence ends, the branch cannot sell; its data is kept and reports can still be opened.
  • Prices may change; a change applies from the next renewal, with at least 30 days' notice.

7. Refunds

The free trial is there to test the software before paying, so fees are not refunded after a licence is activated — except when we cannot provide the service through our own fault for more than 7 days in a row (you may then ask for a pro-rata refund of the unused period), or where the law requires a refund.

8. WhatsApp add-on

Messages are sent from the shop's own WhatsApp number through WhatsApp links. The shop is responsible for the content and for its customers agreeing to receive messages. SmartDukkan is not affiliated with WhatsApp or Meta.

9. Support and the AI assistant

Support chats may be answered by an AI assistant; its answers are clearly labelled and can be wrong, so confirm important things with the support team. You can ask for a person at any time. Do not send passwords, OTP codes or card details in the chat.

10. Data and privacy

  • The shop's data belongs to the shop. We use it only to provide, support, improve and secure the service. We do not sell it or use it for advertising.
  • For personal data of the shop's customers and staff, the shop is the controller and we are the processor under the Personal Data Protection Law. We process it on the shop's instructions and for that purpose only; the shop must collect it lawfully.
  • We use reasonable security: encrypted connections, hashed passwords, permissions and daily backups. Only people who need the data to provide the service can see it, under confidentiality.
  • Service providers we use: the hosting provider (our cloud server), ZATCA (to send invoices), and the AI provider Anthropic (only when auto-reply is switched on; it receives the chat text and attached picture).
  • If a breach affects the shop's data, we tell the shop without delay so it can inform the authority within the legal time.
  • The shop can export its data at any time (Excel reports and invoice XML files) and should keep its own copy of its invoices and records for the legal period.
  • After a subscription ends we keep the data for at least 90 days; after that it may be deleted with notice to the shop, unless a law requires us to keep it.

11. Backups

We back up the server every day. Still, the shop should download its reports and invoices regularly. When the software runs on the shop's own computer, the shop is responsible for its backups.

12. Acceptable use

The service must not be used to sell goods or services that are prohibited by law, issue fake or incorrect invoices, practise commercial concealment (tasattur), evade tax, or try to hack, disrupt, copy or resell the software without written permission. We may suspend accounts that break these rules.

13. Availability

The service is provided "as is" and "as available". We aim to keep it running, but it may stop at times for maintenance or for reasons outside our control (internet outages, failures of providers, force majeure).

14. Limitation of liability

As far as the law allows, we are not liable for indirect loss, lost profit, fines, penalties or tax differences, or losses caused by wrong data, misuse, internet outages, device failures or other parties' systems. In every case our total liability is limited to the fees the shop paid us in the three months before the claim. This does not limit liability for fraud or wilful gross misconduct.

15. Indemnity

The shop will compensate us for any claim, fine or damage we suffer because the shop broke these terms or the law (including tax, consumer protection and data protection laws) or because of the data it entered.

16. Suspension and ending

The shop may stop using the service at any time. We may suspend an account for non-payment or for breaking these terms or the law, with notice where possible.

17. Changes to these terms

We may update these terms. For important changes we show the new version in the software and ask you to accept it; continuing to use the service after notice means you accept it.

18. Law and disputes

These terms are governed by the laws of the Kingdom of Saudi Arabia. We will first try to settle any dispute amicably within 30 days; otherwise the competent courts of the Kingdom decide. The Arabic text prevails if the languages differ.
